Terms of Service

1. Introduction & Acceptance
These Terms of Service ("Terms") govern your access to and use of the websites bytown.co and ads.bytown.co, and all related services, features, and tools (collectively, the "Service") operated by Bytown ("we," "us," or "our").
By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms. If you do not agree, do not use the Service.
2. Description of Service
Bytown is an AI-powered advertising campaign management platform. The Service enables you to:
- Create ad campaigns across Google Ads, Meta Ads (Facebook and Instagram), and LinkedIn Ads through a chat-based interface
- Connect your existing advertising accounts via OAuth for campaign management and performance monitoring
- Receive AI-generated ad copy, keyword suggestions, targeting recommendations, and budget optimization
- View campaign performance reports, KPI dashboards, and AI-driven optimization insights
- Receive email reports summarizing campaign performance and recommendations
The Service uses artificial intelligence, including large language models from Anthropic (Claude) and Google (Gemini), to generate campaign content and recommendations on your behalf.
3. Account Registration
- Accurate information. You must provide accurate, current, and complete information when creating your account. You may register using Google OAuth, LinkedIn OAuth, or email magic link.
- Account security. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify us immediately at [email protected] if you suspect unauthorized access.
- One person per account. Accounts are for individual use. You may not share your account credentials with others or create multiple accounts for the same person.
- Age requirement. You must be at least 16 years old to use the Service.
4. Acceptable Use
You agree not to use the Service to:
- Create or promote ads for illegal products, services, or activities
- Violate the advertising policies of Google, Meta, LinkedIn, or any other connected ad platform
- Submit false, misleading, or deceptive business information or ad content
- Attempt to access other users' data, accounts, or system resources
- Reverse-engineer, decompile, or disassemble any part of the Service
- Use automated tools (bots, scrapers, crawlers) to access the Service except through our provided APIs
- Interfere with or disrupt the integrity or performance of the Service
- Circumvent rate limits, security measures, or access controls
- Use the Service to generate content that promotes hate speech, violence, discrimination, or harassment
- Resell, sublicense, or redistribute the Service or its outputs without our written consent
We reserve the right to suspend or terminate accounts that violate these terms without prior notice.
5. AI-Generated Content
5.1 Nature of AI Outputs
The Service uses AI models from Anthropic (Claude) and Google (Gemini) to generate ad copy, keywords, targeting suggestions, campaign strategies, and business intelligence. You acknowledge that:
- AI-generated content is produced by machine learning models and may contain errors, inaccuracies, or inappropriate suggestions
- AI outputs are suggestions and recommendations, not guarantees of advertising performance or results
- AI models may produce different outputs for similar inputs and results may vary
5.2 Your Responsibility
You are solely responsible for reviewing, approving, and publishing any AI-generated content. Before launching any campaign, you must verify that all ad copy, keywords, and targeting parameters comply with applicable laws, advertising platform policies, and your own brand standards. Bytown is not responsible for the consequences of publishing AI-generated content without adequate review.
5.3 No Performance Guarantees
We do not guarantee that AI-generated campaigns will achieve any specific results, including but not limited to click-through rates, conversion rates, cost per acquisition, return on ad spend, or revenue. Advertising performance depends on many factors outside our control, including market conditions, competition, ad platform algorithms, and your product or service quality.
6. Ad Platform Integrations
6.1 OAuth Authorization
To manage campaigns on your behalf, you authorize Bytown to access your advertising accounts on Google Ads, Meta Ads, and LinkedIn Ads through OAuth. By connecting an account, you grant us permission to:
- Read campaign data, performance metrics, and account settings
- Create, modify, pause, and manage campaigns and ad groups
- Access search term reports and keyword data
- Execute optimizations you request through the chat interface
6.2 Platform Compliance
You remain responsible for complying with the terms of service and advertising policies of each connected ad platform, including:
- Google Ads Terms of Service and Google Ads Policies
- Meta Advertising Standards
- LinkedIn Advertising Policies
We make reasonable efforts to generate compliant ad content, but compliance is ultimately your responsibility.
6.3 Revoking Access
You may disconnect any ad platform account at any time through the Bytown dashboard or by revoking access through the ad platform's settings. Disconnecting an account will stop all campaign management activities for that account.
6.4 Ad Spend
You are solely responsible for all advertising spend incurred on your connected ad platform accounts. Bytown does not charge or process ad spend — all billing for advertising costs occurs directly between you and the ad platform (Google, Meta, LinkedIn). We are not liable for any unintended or excessive ad spend.
7. Google Ads API Terms
Bytown's use of the Google Ads API is subject to the Google Ads API Terms and Conditions. By using the Service to manage Google Ads campaigns, you also agree to:

- The Google API Services User Data Policy, including the Limited Use requirements
Bytown's use of Google user data complies with the Google API Services User Data Policy, including the Limited Use requirements. See our Privacy Policy — Google API Services section for full details on how we handle Google data.
8. Data & Privacy
Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the data practices described in the Privacy Policy.
Key points:
- We never sell your personal data to third parties
- OAuth tokens for ad platform connections are encrypted at rest
- You can choose Privacy Mode during onboarding to minimize analytics data collection
- You can request deletion of your data at any time
9. Intellectual Property
9.1 Bytown's Property
The Service, including its design, code, AI models, algorithms, documentation, and branding, is owned by Bytown and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or brand elements.
9.2 Your Content
You retain all rights to your business data, website content, and any information you provide to the Service. By using the Service, you grant us a limited, non-exclusive license to use your content solely for the purpose of providing the Service to you.
9.3 AI-Generated Content
Ad copy, keywords, campaign strategies, and other content generated by the Service's AI on your behalf is licensed to you for your use in advertising campaigns. You may use, modify, and publish this content. We do not claim ownership of AI-generated content created for your campaigns.
10. Payment & Billing
The Service is currently available in a free early-access period. We reserve the right to introduce paid plans in the future. If we do:
- We will provide at least 30 days' notice before any pricing changes take effect
- You will not be charged without your explicit consent to a specific plan
- Existing free users will be given reasonable time to evaluate paid options
This section will be updated when paid plans are introduced. Ad spend on connected platforms (Google, Meta, LinkedIn) is billed directly by those platforms, not by Bytown.
11. Service Availability & Modifications
- Uptime. We strive to maintain high availability but do not guarantee uninterrupted access. The Service may experience downtime for maintenance, updates, or unforeseen issues.
- Modifications. We may modify, update, or discontinue features of the Service at any time. We will provide reasonable notice for material changes that affect your use.
- Third-party dependencies. The Service relies on third-party services (Google Ads API, Meta API, LinkedIn API, AI model providers). Changes, outages, or policy updates by these providers may affect Service functionality. We are not responsible for third-party service disruptions.
- AI model updates. The AI models powering the Service are periodically updated by their providers. These updates may change the style, quality, or behavior of AI-generated content.
12. Limitation of Liability
To the maximum extent permitted by applicable law:
- The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
- Bytown shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, business opportunities, or goodwill.
- Bytown shall not be liable for any advertising spend, campaign losses, or negative campaign performance resulting from use of the Service, including AI-generated content or recommendations.
- Bytown shall not be liable for changes to ad platform policies, algorithms, or APIs that affect your campaigns or account standing.
- Our total aggregate liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim, or $100 USD, whichever is greater.
13. Indemnification
You agree to indemnify, defend, and hold harmless Bytown, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:
- Your use of the Service or violation of these Terms
- Advertising content you approve and publish through the Service
- Your violation of any ad platform's terms of service or advertising policies
- Your violation of any applicable law or regulation
- Any third-party claims related to your advertising campaigns
14. Termination
14.1 By You
You may stop using the Service and request account deletion at any time by contacting us at [email protected].
14.2 By Us
We may suspend or terminate your account if you violate these Terms, engage in abusive behavior, or if required by law. We will provide notice and an opportunity to export your data where reasonably possible, except in cases of severe violations.
14.3 Effect of Termination
Upon termination:
- Your right to access the Service ends immediately
- We will disconnect all connected ad platform accounts and delete stored OAuth tokens within 30 days
- Campaign data will be retained for 90 days to allow for data export requests, then permanently deleted
- Active campaigns on ad platforms will not be automatically paused — you must manage them directly through each platform after termination
15. Dispute Resolution
15.1 Informal Resolution
Before filing any formal legal action, you agree to contact us at [email protected] and attempt to resolve the dispute informally for at least 30 days.
15.2 Governing Law
These Terms shall be governed by and construed in accordance with the laws of Ontario, Canada, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in Ontario, Canada.
15.3 Class Action Waiver
To the extent permitted by applicable law, you agree to resolve disputes individually and waive any right to participate in class action lawsuits or class-wide arbitration.
16. Changes to Terms
We may update these Terms from time to time. When we make material changes:
- We will update the "Last updated" date at the top of this page
- We will notify you via email if you have an active account
- We will display a prominent notice on the Service for at least 30 days
Your continued use of the Service after the effective date of any changes constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Service.
17. Severability
If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect. The invalid provision will be modified to the minimum extent necessary to make it valid while preserving the original intent.
